Terms and Conditions of Sale

1. Purpose

Sinvex provides international sourcing services, supplier research and verification, commercial negotiation, quality control, logistics coordination and support for import-export operations.

Sinvex acts exclusively as an intermediary and service provider.

2. No liability for manufacturing

Sinvex is neither the manufacturer, seller, nor distributor of the products ordered.

Responsibility for the manufacturing, compliance and final quality of goods rests exclusively with the selected supplier and the purchasing client.

3. Supplier validation

Sinvex implements reasonable supplier verification procedures.

However, Sinvex does not guarantee the supplier's ongoing solvency, business continuity, or the absence of manufacturing defects.

4. Samples and validation

The client is responsible for the final validation of samples before production begins.

5. Quality control

Quality control checks carried out by Sinvex constitute a point-in-time verification based on sampling.

6. Lead times

Manufacturing, supply and transport lead times are provided for guidance only.

Sinvex cannot be held liable for delays caused by suppliers, customs, ports, logistics providers, or events of force majeure.

7. Transport and logistics

Where Sinvex coordinates transport, it acts solely as an intermediary between the client and logistics providers.

8. Customs and regulations

The client remains solely responsible for the regulatory compliance of imported products, required certifications, and customs obligations.

9. Limitation of liability

Sinvex's total liability is limited to the amount actually paid by the client for the service concerned.

10. Payment

Payment terms and methods are stated on each quote, accepted in writing before any service starts.

Any late payment may result in the immediate suspension of services.

11. Offers and starting prices

The prices below are starting prices, excluding VAT. The exact price of each service depends on the scope of the project; it is set out in the quote or commercial proposal and agreed in writing before any work starts.

Sourcing Discovery: from €390 excl. VAT. The exact price depends on the scope of the project and is confirmed before work starts. Where a deduction from a later service is provided for, its amount and conditions are set out in the quote or commercial proposal accepted by the client.

Procurement Partner: from €1,500 excl. VAT per month. The exact scope is defined in the quote, and the services included are those stated in the commercial proposal. Any purchasing commission is defined contractually. The monthly fee and any commission are agreed before work starts.

China Buying Office: from €2,500 excl. VAT per month. The scope of the assignments, the monthly fee and any purchasing commission are defined in the quote or contract accepted before work starts.

Product & Brand Development: Product Launch from €2,500 excl. VAT, Brand Launch from €4,500 excl. VAT, Brand Scale from €7,500 excl. VAT. The exact details of each package are set out in the quote.

12. Force majeure

Neither party shall be held liable for any delay or failure to perform resulting from an event reasonably beyond its control.

13. Governing law

The applicable law will be specified once Sinvex's new legal structure is registered, unless mandatory provisions state otherwise.
